Please read these Terms and Conditions carefully before using the website operated by Henan Zuji Machinery Equipment Co., Ltd. ("ZUJI Machinery", "we", "us", or "our"). By accessing or using our website and services, you agree to be bound by these terms. If you do not agree with any part of these terms, you must not use our website or services.

1. Definitions

In these Terms and Conditions, the following definitions apply:

  • "Company" refers to Henan Zuji Machinery Equipment Co., Ltd., registered in Changge City, Henan Province, China.
  • "Website" refers to zujimachinery.com and all related subdomains.
  • "Products" refers to all machinery, equipment, spare parts, and accessories offered for sale on our website.
  • "Customer" or "Buyer" refers to any individual, company, or organization that places an order or makes an inquiry through our website.
  • "Order" refers to a binding commitment to purchase Products as confirmed by both parties.

2. General Provisions

These Terms and Conditions constitute the entire agreement between you and ZUJI Machinery regarding the use of our website and the purchase of Products. They supersede all prior agreements, understandings, and representations, whether oral or written.

We reserve the right to modify, update, or replace these Terms and Conditions at any time without prior notice. The most current version will always be posted on this page with the "Last updated" date. It is your responsibility to review these terms periodically. Continued use of the website after changes constitutes acceptance of the revised terms.

If any provision of these Terms and Conditions is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.

3. Product Information and Pricing

We make every effort to display accurate product descriptions, specifications, images, and pricing on our website. However, we do not guarantee that all information is entirely accurate, complete, or current at all times. Product images are for illustrative purposes and actual products may vary slightly in appearance.

All prices displayed on our website are in United States Dollars (USD) unless otherwise specified. Prices are subject to change without notice. Quotations provided through our contact form or email are valid for 30 days from the date of issue unless otherwise stated.

Product specifications including but not limited to dimensions, weight, motor power, voltage, and processing capacity are provided by the manufacturer and may be subject to change due to continuous product improvement. We recommend confirming critical specifications before placing an order.

We reserve the right to discontinue any product at any time, to limit quantities, and to modify product designs and specifications without obligation to update previously sold units.

4. Orders and Acceptance

All orders placed through our website, email, or other communication channels are subject to our acceptance. An order is not considered accepted until we issue a formal Proforma Invoice (PI) and receive your written confirmation.

To place an order, you must provide accurate and complete information including your full legal name, company name (if applicable), billing and shipping addresses, contact telephone number, email address, and valid payment information.

We reserve the right to refuse or cancel any order for reasons including but not limited to: product availability, errors in product or pricing information, suspected fraudulent activity, or inability to verify payment information. If we cancel an order after payment has been received, we will issue a full refund.

Minimum Order Quantities (MOQ) may apply to certain products or spare parts. These will be clearly communicated in the quotation.

5. Payment Terms

Payment terms are typically 30% deposit upon order confirmation and 70% balance before shipment, unless otherwise agreed in writing. We accept payment via Telegraphic Transfer (T/T), Letter of Credit (L/C) at sight for large orders, and other methods as mutually agreed.

All bank charges associated with the transfer are the responsibility of the Buyer. The full invoice amount must be received in our account before goods are released for shipment, unless credit terms have been pre-approved in writing.

For custom-built or made-to-order machinery, the deposit is non-refundable once production has commenced. Cancellation of standard stock items may incur a restocking fee of up to 15% of the order value.

We do not store or process credit card information on our servers. All payment processing is conducted through secure third-party banking channels.

6. Shipping and Delivery

We ship products worldwide using sea freight, air freight, or courier services (DHL, FedEx, UPS) as agreed. Shipping terms follow Incoterms 2020, typically FOB Shanghai/Ningbo/Tianjin, CIF, or DAP destination, unless otherwise specified in the Proforma Invoice.

Delivery times are estimates only and commence from the date of deposit receipt and order confirmation. Standard production lead time is 15-25 working days for stock items and 30-45 working days for custom orders. Delivery time after shipment depends on the destination and shipping method.

We are not responsible for delays caused by circumstances beyond our reasonable control, including but not limited to: natural disasters, acts of government, port congestion, carrier delays, customs inspections, or force majeure events.

Risk of loss and title to products pass to the Buyer upon delivery to the carrier at the port of shipment for FOB terms, or upon delivery to the named destination for DAP terms. It is the Buyer's responsibility to arrange appropriate cargo insurance.

7. Inspection and Acceptance

The Buyer must inspect goods immediately upon receipt. Any shortage, damage, or non-conformity must be reported in writing with photographic evidence within 7 calendar days of delivery. Failure to report within this period constitutes acceptance of the goods in satisfactory condition.

For sea freight shipments, we recommend the Buyer or their appointed surveyor conduct a joint inspection at the port of destination. Claims for shipping damage must be filed with the carrier and supported by the carrier's damage report.

8. Warranty

All ZUJI Machinery products are covered by a standard 12-month warranty from the date of Bill of Lading (B/L) unless otherwise specified. The warranty covers manufacturing defects in materials and workmanship under normal use and maintenance.

The warranty does not cover: wear parts (blades, dies, bearings, belts), damage caused by improper operation, unauthorized modification, neglect, accidents, or use of non-genuine spare parts. Consumables and wearing parts carry a 3-month warranty.

Warranty claims must be submitted in writing with the machine serial number, purchase date, and detailed description of the defect. We reserve the right to repair, replace, or refund at our discretion. The Buyer is responsible for return shipping of defective parts unless otherwise agreed.

Extended warranty options up to 24 or 36 months are available for purchase. Please contact our sales team for details.

9. Returns and Refunds

Due to the nature of industrial machinery, returns are generally not accepted except for confirmed warranty defects or incorrect items shipped by our error. All return requests must be authorized in advance by our customer service team.

Authorized returns must be shipped in original packaging with all accessories and documentation. Refunds will be processed within 30 business days of receiving and inspecting the returned goods. Shipping costs for returns are the Buyer's responsibility unless the return is due to our error.

10. Intellectual Property

All content on this website including text, graphics, logos, images, product descriptions, videos, and software is the property of ZUJI Machinery or our licensors and is protected by international copyright, trademark, and other intellectual property laws.

You may not reproduce, distribute, modify, create derivative works from, publicly display, or commercially exploit any content without our prior written consent. Product designs, technical drawings, and proprietary manufacturing processes are strictly confidential trade secrets.

Unauthorized use of our trademarks, brand names, or product images by third parties for competitive or misleading purposes is strictly prohibited and will be pursued to the fullest extent of the law.

11. Limitation of Liability

To the maximum extent permitted by applicable law, ZUJI Machinery shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, lost data, or business interruption, arising out of or related to your use of our website or products.

Our total aggregate liability for any claim arising under these Terms and Conditions shall not exceed the total amount paid by you for the specific product giving rise to the claim.

Nothing in these Terms and Conditions limits or excludes our liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded under applicable law.

12. Governing Law and Dispute Resolution

These Terms and Conditions shall be governed by and construed in accordance with the laws of the People's Republic of China, without regard to its conflict of law provisions.

Any dispute, controversy, or claim arising out of or relating to these terms, including their existence, validity, interpretation, performance, breach, or termination, shall first be attempted to be resolved through good faith negotiation between the parties.

If negotiation fails, disputes shall be submitted to the China International Economic and Trade Arbitration Commission (CIETAC) for arbitration in Beijing, China, in accordance with its then-effective arbitration rules. The arbitration award shall be final and binding on both parties.
